Current Situation Customers site to be assessed under this LOA is located at: Street Address
Site has conditioned space of approximately 114,615 square feet. The facility is a Office Space and Luxury Event Space According the information provided to Daikin Applied, the site is served by electric utility, natural gas utility, water utility. The Site annual electric energy consumption is approximately ~2,000,000 kWh of electricity, TBD therms of natural gas, TBD gallons of propane, for an approximate cost $180,000 per year.II. Customer Objectives - To provide a comprehensive project that will achieve the following: Reduce operating expense and total cost of ownership Renew building infrastructure to improve reliability, uptime, and/or occupant comfort and productivity Make infrastructure and operations improvements funded from energy savings, operation and maintenance (O&M) savings, and avoided capital cost. Reduce energy use and greenhouse gas emissions footprint Maintain usable square footage in the office building and 11th floor Event Center. III. Daikin Applied Solution - Daikin Applied will conduct a preliminary assessment to investigate and evaluate the opportunity to reduce building operational costs and environmental impact without sacrificing reliability of comfort at the Site. Historical consumption, and financial expenditure for various utilities (electricity, natural gas, heating oil, water, sewer, etc.) will be assessed. The historical data will be used to develop a building energy baseline and benchmark the Sites current performance. Daikin Applied will develop an integrated solution of feasible Facility Improvement Measures (FIMs) for the Site to meet Customers objectives as stated in Section I above and that will comply with local building codes. The following areas will be reviewed: Energy efficient lighting retrofits High efficiency HVAC systems Cooling Towers Boiler and Heat Recovery Chiller systems Motor and pumping systems Building Automation Strategy Window Filming/Tinting Tenant Metering Roof OtherDaikin Applied SolutionsLetter of AuthorizationPage 2 of 4After verifying the scope of improvements of interest to Customer, Daikin Applied will develop preliminary estimates that could result from the integrated solution, including: Cost to implement the project Anticipated utility consumption and expense savings Anticipated O&M expense savings Facility capital budget cost avoidance opportunities Possible Government or Energy Smart rebates that may be available including rebates, grants, tax credits, tax deductions, or potential sale of energy or environmental attributes (RECs, EECs, VERs) These costs and benefits will be summarized in a preliminary business case financial analysis to calculate simple payback.Preliminary Assessment Deliverables: List of recommended improvement measures for the Site Preliminary energy and greenhouse gas emissions reduction estimates Preliminary business case with simple payback A proposed implementation timelineIV. Process - To enable the parties to expeditiously and economically evaluate the potential benefits Daikin Applied proposing and implementing an integrated solution to meet Customers objectives, a process of progressive investment and commitment will be undertaken. This process is as follows: 1 Co-author a Timeline that defines each process step with specific milestone dates. (See the proposed draft Timeline Attachment - Commitment Dates and Responsibilities). 2 Daikin Applied will develop the Preliminary Assessment, which includes the deliverables identified in Section III. There is no financial commitment by the Customer up to this point other than allowing Daikin Applied to access Customers Site, information and personnel for the purpose of preparing and presenting the Preliminary Assessment. At this stage Customer may elect not to move forward; in that case, the Customer has no further obligation to Daikin Applied. 3 If Customer elects to move forward with Daikin Applieds proposed integrated solution, Customer will approve the Preliminary Assessment and Customer will enter into a Project Development Agreement(PDA) that outlines mutually agreed upon financial criteria for the integrated solution. The PDA will allow Daikin Applied to undertake a Detailed Engineering Analysis to develop more precise estimates of project costs and benefits. The deliverables of the PDA will include a final proposal with a detailed scope of work, firm project costs and savings, and final contract documents. Provided that the final proposal meets the Customers financial criteria set forth in the PDA, Customer will approve moving forward to the final Agreement. In the event that Daikin Applied delivers a project that meets the agreed upon financial criteria, and Customer elects not to proceed, Daikin Applied will be entitled to compensation for the development effort as set forth in the PDA. If Daikin Applieds proposed integrated solution fails to meet the agreed upon financial criteria, Customer will have no obligation to proceed or pay the development effort fee.4 Assuming the PDA meets customers financial criteria, the parties will enter into an Agreement with Daikin Applied as the prime general contractor to provide Customer the equipment and services defined in the PDA.Daikin Applied SolutionsLetter of AuthorizationPage 3 of 4V. Obligations of Customer Customer will work with Daikin Applied in a diligent and timely manner according to the co-authored timeline to develop the preliminary engineering study and will provide open disclosure of information required to enable Daikin Applied to conduct an accurate assessment of utility bill data, as built drawings, asset inventories, building automation systems and meter data management trend data, maintenance expenditure records, facility capital budget plans, lease agreements, and/or audited financial history. In addition, Customer will properly position Daikin Applied with any other resident service providers to insure a cooperative and successful effort. Customer will not have any financial obligation to Daikin Applied unless the PDA is executed by both parties. VI. Obligations of Daikin Applied Daikin Applied will work with the Customer in a diligent and timely manner according to the co-authored timeline to develop the preliminary assessment and provide Customer the Preliminary Assessment Deliverables and in doing so, will provide adequate and qualified resources as needed.VII. Understanding of the Parties The parties agree that there is a qualified commitment to the concepts and to the partnership with one another, assuming the Customer Objectives stated above are met. The parties further agree to the provisions of this LOA as represented by their signatures below.
