Represent startup companies to late-stage private companies, as well as venture capital and private equity investors in financings, mergers, acquisitions, asset purchases and sales, joint ventures, and other capital raising transactions. Draft, review and negotiate transactions documents. Spvs. 1-6 Jr. Associates and prof’l staff.

Reqs: Must possess a J.D., LL.M. or LL.B. deg. and display academic excellence as defined by a law school min. B average, and/or moot court/law review/journal experience. Frgn deg equvlnt ok. Must be admitted to the CA State Bar. 2 years of exp. as a Law Clerk/Associate Atty practicing corp. law at a Top 30 law firm as ranked by www.vault.com. Exp. must include assisting public and private co’s in connection with large (100s of million and multi-billion $) domestic and cross-border M&A transactions, including mergers, acquisitions, private investments, sales, and joint ventures, and assisting private and registered funds in fund formations, operations, secondary transactions and tax and regulatory matters of such funds.
