Utilize experience in diverse assets such as performing and distressed residential, investor, and commercial mortgage loans, mezzanine loans, single-family rental properties, servicing rights, consumer and small-business loans, equipment and auto leases, tax liens, and factoring receivables. Maintain thorough knowledge of all securitization laws and regulations with the ability to quickly find and understand relevant provisions. Analyse deals for the restructuring safe harbors (knowledge of the bankruptcy code, legislative history and early case law). Participate in matters related to the rating agency process. Identify bankruptcy, tax, securities law, consumer finance regulatory and licensing, real estate, and secured lending issues in operative documents. Review and prepare transaction documents ensuring that there are no conceptual or provisional discrepancies between operative documents or between operative and disclosure documents. Apply understanding of the flow of collections, priority of payments, waterfall and cash dominion, including direction and timing of income streams from obligor, to servicer, to trustee, to deposit accounts etc.; risks/gaps and how we solve for them; identify and address intercreditor issues. Draft form documents and opinions. Write articles for business development purposes. Must have Juris Doctor degree from an ABA-approved law school, including completion of courses in Financial Law. Must be licensed to practice law and be a member in good standing in the state of New York. Must have 5 years of experience as an attorney specializing in finance performing the following: Drafting and negotiating loan agreements and ancillary documents in a wide range of industries, including real estate; Coordinating the due diligence process in connection with financings and mergers and acquisitions; Coordinating the work processes with several law firms in connection with financing transactions; and Effectively managing and training junior associates. Must have 2 years of experience as an attorney specializing in finance performing the following: Drafting and negotiating loan agreements and ancillary documents in the single-family rental industry; Drafting and negotiating loan agreements in the pharmaceutical royalty space; Leading internal corporate approval processes for financing transactions; Coordinating the credit approval process in an investment bank with relation with single-family rental financings; and Preparing materials and presenting transactions to credit committees in an investment bank.

Salary range: $365,000 - $400,000
